Welcome to Koopel. These Terms of Service ("Terms") govern your access to and use of the Koopel website, mobile application, and services (collectively, the "Platform"), operated by MOWA LABS LLC, a Florida Limited Liability Company with mailing address:

By accessing or using Koopel, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Platform.

1Eligibility

  • You must be at least 18 years old to use Koopel.
  • You must be legally capable of entering into a binding contract.
  • Users under suspension or who have previously violated Koopel's Terms are prohibited from creating new accounts or using the Platform.
  • By using our services, you represent and warrant that you meet all eligibility requirements.

2Account Registration

You must create a Koopel account to list, sell, or purchase items. By creating an account, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate, current, and complete.
  • Maintain the security of your account by keeping your password confidential and restricting access to your account.
  • Accept responsibility for all activities that occur under your account and password.
  • Notify Koopel immediately of any breach of security or unauthorized use of your account.

Seller Verification Requirements

  • Identity Verification: To sell items on Koopel, you must complete an identity verification process conducted exclusively through our payment processor, Stripe. This verification helps ensure platform safety and prevent fraud.
  • Data Privacy: Your sensitive personal identification information is collected and stored solely by Stripe according to their Privacy Policy. Koopel does not receive, store, or have access to your sensitive identification documents or financial information.
  • Tax Reporting: As required by law, sellers who meet certain sales thresholds will receive a Form 1099-K at the end of the tax year. This form summarizes your transactions on the platform for tax reporting purposes.
  • Compliance: By selling on Koopel, you agree to comply with all applicable tax laws and regulations, including reporting income earned through the platform to appropriate tax authorities.

Important:

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion if we believe you have violated these Terms or our policies.

3Marketplace Functionality

Koopel is a peer-to-peer online marketplace that enables users to list, sell, and purchase goods.

Seller Responsibilities

  • Accurately describe all items
  • Set fair and transparent prices
  • Ship items promptly
  • Communicate with buyers
  • Fulfill orders as described
  • Comply with all applicable laws

Buyer Responsibilities

  • Review listings thoroughly
  • Ask questions before purchasing
  • Make prompt payments
  • Inspect items upon receipt
  • Report issues within 48 hours
  • Be courteous in communications

Please Note:

Koopel does not take ownership of any items sold or listed, and we do not guarantee the quality, legality, authenticity, or condition of any items. We serve solely as a platform connecting buyers and sellers.

4Payment Processing & Fund Disbursement

All payments on Koopel are securely processed by our third-party partner Stripe, Inc. By using the Platform, you agree to be bound by Stripe's Terms of Service and Privacy Policy.

How Payments Work:

  1. Payment Processing Fee: A 3.5% + $0.50 payment processing fee is charged to buyers at checkout to cover Stripe's payment processing costs.
  2. Payment Collection: Buyers pay through Stripe at the time of purchase, including the item price, shipping costs, and applicable fees.
  3. Escrow Period: MOWA LABS LLC (Koopel) will hold the payment in escrow until the item is delivered and confirmed by the buyer.
  4. Delivery Confirmation: Buyers are prompted to confirm delivery. If no confirmation is received, the system automatically confirms delivery within a set timeframe (typically 72 hours after tracking shows "delivered").
  5. Fund Release: After confirmation (manual or automatic), funds are released to the seller, minus a 0% platform fee.
  6. Platform Fee Usage: The platform fee helps support operations, customer support, fraud prevention, marketing, and platform improvements.

Payment Hold Policy:

Koopel reserves the right to delay, hold, or cancel payouts under the following circumstances:

  • Suspected fraudulent activity
  • Chargeback or payment dispute
  • Violation of our terms or policies
  • Unresolved buyer complaints
  • Account verification issues
  • Compliance with legal requirements

5Shipping and Delivery

Seller Shipping Requirements

  • Ship items within 3 business days of receiving payment
  • Use appropriate packaging materials for item protection
  • Provide valid tracking information for all shipments
  • Communicate shipping delays or issues promptly
  • Include order details with shipped items
  • Ship to the buyer's address as provided in the order

Buyer Delivery Responsibilities

  • Provide accurate shipping address information
  • Monitor tracking updates and delivery status
  • Inspect delivered items promptly
  • Report shipping or delivery issues within 48 hours of delivery confirmation
  • Confirm receipt of item when prompted
  • Contact seller if tracking shows delivery but item not received

Shipping Policy Enforcement:

  • Failure to ship items on time or to communicate delays may result in order cancellation, refunds to buyers, and potential account penalties.
  • Repeated shipping issues may lead to account suspension or termination.
  • Fraudulent shipping practices (such as providing fake tracking numbers) will result in immediate account termination and may have legal consequences.
  • Koopel may offer shipping protection programs subject to specific terms and eligibility requirements.

International Shipping Notice:

For international shipments, sellers and buyers are responsible for understanding and complying with all customs requirements, import duties, taxes, and regulations applicable to the shipping destination. Koopel is not responsible for any customs-related delays, fees, or item seizures.

  • Sellers are responsible for reporting and paying any applicable taxes on their sales and income.

Fee Usage:

Platform fees help support ongoing operations, customer support, fraud prevention, marketing efforts, technology development, and platform improvements. These fees ensure we can continue providing a secure, reliable marketplace experience.

7Returns, Cancellations & Disputes

Returns Policy

  • Returns are only accepted for justified reasons: items that don't match the images on the product page or arrived in a different condition than described.
  • Returns are not accepted for subjective reasons such as simply not liking the item.
  • If you experienced any justified reasons for return, please contact us and we will help you resolve this case.
  • Buyers must initiate return requests within 7 days of delivery for justified reasons only.
  • Return shipping costs are generally the buyer's responsibility unless the item was misrepresented.

Order Cancellations

  • Buyers may request order cancellation before the item is shipped.
  • Sellers may accept or decline cancellation requests at their discretion.
  • Koopel may automatically cancel orders if shipping confirmation isn't provided within 7 days.
  • Cancellations due to seller non-compliance result in full refunds to buyers.
  • Excessive cancellations may lead to account penalties.

Dispute Resolution Process:

  1. Direct Communication: Buyers and sellers should first attempt to resolve issues through the Koopel messaging system.
  2. Formal Dispute: If direct communication doesn't resolve the issue, either party may open a formal dispute through Koopel's resolution center.
  3. Evidence Submission: Both parties will have the opportunity to provide evidence supporting their position.
  4. Koopel Review: Our team will review all submitted information and make a determination based on our policies, the evidence provided, and marketplace standards.
  5. Resolution: Koopel will issue a final decision which may include refunds, return requirements, or release of funds.

Important Disclaimer:

While Koopel may mediate disputes in good faith, we are not liable for lost funds, item conditions, or other issues that may arise between buyers and sellers. All users agree to cooperate with dispute investigations and provide requested evidence within a reasonable timeframe.

8Prohibited Items and Conduct

To maintain a safe, legal, and trustworthy marketplace, the following are prohibited on Koopel:

  • Illegal, stolen, or counterfeit goods
  • Dangerous or hazardous materials
  • Weapons, ammunition, or explosives
  • Drugs, controlled substances, or drug paraphernalia
  • Adult content or pornographic materials
  • Personal identification documents
  • Recalled or prohibited consumer products
  • Human remains or body parts
  • Live animals or protected wildlife products
  • Items that infringe on intellectual property rights

Prohibited Conduct

  • Harassment, threats, or abusive behavior
  • Spam, scams, or deceptive practices
  • False, misleading, or defamatory content
  • Circumventing Koopel's fee structure
  • Creating multiple accounts for deceptive purposes
  • Using bots, scripts, or scraping tools
  • Manipulating ratings or reviews
  • Impersonating others or Koopel staff
  • Sharing private communications without consent
  • Any activity that violates local, state, or federal laws

Enforcement Actions:

  • Removal of prohibited listings or content
  • Temporary suspension of account privileges
  • Permanent account termination
  • Withholding of funds related to prohibited transactions
  • Reporting to law enforcement when legally required

Reporting Violations:

If you encounter prohibited items or conduct on Koopel, please report them immediately through our reporting system. We take all reports seriously and will investigate promptly to maintain the integrity and safety of our marketplace.

9User Content

When you post content on Koopel (including text, images, videos, reviews, and communications):

  • Ownership: You retain ownership of your content.
  • License Grant: You grant Koopel a non-exclusive, worldwide, royalty-free license to use, modify, and display your content in connection with the operation and promotion of the Platform.
  • Responsibility: You are solely responsible for all content you post, and you represent that you have all necessary rights to the content.
  • No Endorsement: Koopel does not endorse any content posted by users and disclaims any liability for user-generated content.
  • Content Removal: Koopel reserves the right to remove any content that violates our terms or policies without prior notice.

Content Guidelines:

All content posted on Koopel must adhere to the following guidelines:

  • Be accurate and not deceptive
  • Respect the privacy and rights of others
  • Not include offensive, harmful, or illegal material
  • Not infringe on intellectual property rights
  • Not contain malicious code or links
  • Not spam or flood the platform

10Intellectual Property

Koopel's Intellectual Property

  • All Koopel branding, logos, and trademarks
  • Website and mobile app design and interface
  • Software code and functionality
  • Content created by Koopel
  • Platform features and tools

All of these elements are the intellectual property of MOWA LABS LLC or its licensors and are protected by copyright, trademark, and other laws.

Restrictions

Without express written permission from Koopel, you may not:

  • Use Koopel's trademarks or logos
  • Copy, distribute, or modify platform content
  • Reproduce the platform design or interface
  • Decompile, reverse engineer, or extract source code
  • Create derivative works based on Koopel
  • Use the platform for any unauthorized purpose

DMCA Compliance:

Koopel respects the intellectual property rights of others and expects users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) procedures for addressing claims of copyright infringement.

If you believe content on Koopel infringes your copyright, please submit a DMCA notice to our designated copyright agent at legal@koopel.com with the following information:

  1. Identification of the copyrighted work claimed to be infringed
  2. Identification of the allegedly infringing material
  3. Your contact information
  4. A statement of good faith belief that the use is not authorized
  5. A statement, under penalty of perjury, that the information is accurate
  6. Your physical or electronic signature

11Account Termination

Termination by Koopel

Koopel reserves the right to suspend or terminate accounts for:

  • Breach of these Terms
  • Suspicious or fraudulent activity
  • Non-payment of fees
  • Abusive behavior
  • Extended inactivity
  • Repeated policy violations
  • Legal requirements

Termination by User

Users may terminate their accounts by:

  • Contacting Koopel support
  • Completing any pending transactions
  • Settling any outstanding fees
  • Following our account closure process

Note that certain obligations may continue beyond account closure, such as pending payments, ongoing disputes, or legal matters.

Effects of Termination:

  • Loss of access to the Platform and account
  • Removal of active listings
  • Potential forfeiture of funds related to violations
  • Review and rating history may be preserved
  • Inability to create new accounts if terminated for violations

Important:

Koopel may, but is not obligated to, provide notice before terminating an account. In cases of serious violations or potential legal issues, immediate termination may occur without prior notice.

12Limitation of Liability

To the fullest extent permitted by applicable law:

  • Koopel is provided "as-is" and "as-available" without warranties of any kind, either express or implied.
  • We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and those arising from course of dealing or usage of trade.
  • We make no warranty that the Platform will meet your requirements, be available on an uninterrupted or error-free basis, or that defects will be corrected.
  • MOWA LABS LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill.
  • Our total liability for any claims arising under these Terms shall not exceed the amount you paid to Koopel in the previous 6 months.

Note:

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Therefore, some of the limitations in this section may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by applicable law.

13Indemnification

You agree to indemnify, defend, and hold harmless MOWA LABS LLC, its affiliates, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms
  • Your use of the Koopel Platform
  • Your content posted on the Platform
  • Your interaction with other Koopel users
  • Your violation of any laws or regulations
  • Your infringement of any third-party rights
  • Any misrepresentation made by you

Koopel reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any such matter without the prior written consent of Koopel.

14Governing Law and Jurisdiction

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
  • Jurisdiction: Any disputes arising under or relating to these Terms shall be resolved exclusively in the state or federal courts located in Orange County, Florida. You consent to the personal jurisdiction of these courts and waive any objection to the exercise of jurisdiction by such courts.
  • Legal Compliance: You agree to comply with all applicable laws, rules, and regulations when using the Platform, including those related to online conduct, data privacy, international communications, and the export of technical data.
  • Dispute Resolution: Before filing a claim against Koopel, you agree to attempt to resolve the dispute informally by contacting us. If we can't resolve the dispute within 30 days, either party may initiate formal proceedings.

15Modifications to Terms

  • Koopel may modify these Terms from time to time to reflect changes in our business, practices, or legal requirements.
  • If we make material changes to these Terms, we will notify you through email or in-app notifications before the changes become effective.
  • Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes.
  • If you do not agree with the revised Terms, you should stop using the Platform and close your account.
  • The updated Terms will be posted on our website with the "Last Updated" date at the top.

We encourage you to review our Terms periodically to stay informed about our policies and practices. Your use of the Platform is always subject to the most current version of these Terms.

Your Agreement

By using Koopel, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
